Articles of Incorporation
We, the undersigned natural persons of the age of twenty-one years or more, at least two of whom are citizens of the State of Mississippi, acting as incorporators of a corporation under the Mississippi Non-Profit Corporation Act, do hereby adopt the following Articles of Incorporation for such corporation:
ARTICLE ONE
The name of the corporation is Shaw Pit Bull Rescue, Inc.
ARTICLE TWO
The street address of initial registered office of the corporation is: 368 Old New Hope Road, Columbus, MS 39702
And the name of the initial registered agent at such address is: Kenneth Shaw
ARTICLE THREE
Management of the corporation shall be vested in the Board of Directors.
ARTICLE FOUR
The corporation is a non-profit corporation. The corporation shall not have members.
ARTICLE FIVE
The period of the corporation’s duration is perpetual.
ARTICLE SIX
The corporation is organized exclusively for charitable, educational and scientific purposes, and for the prevention of cruelty to animals, specifically promoting the well being of American Pit Bull
Terriers who have been or might be harmed, and including for such purposes, the making of distributions to organizations under section 501(c)(3) of the Internal Revenue Code (or the
corresponding section of any future Federal tax code).
The purpose of the organization is to rescue American Pit Bull Terriers which have been abandoned, lost or abused, or might otherwise be neglected or euthanized.
It is the policy of the corporation to promote the humane treatment of American Pit Bull Terriers and companion animals reasonably believed to be of substantially American Pit Bull Terrier heritage by an authorized agent of the corporation.
It is the policy of the corporation to provide humane care and treatment for all American Pit Bull Terriers needing protection, to seek and to return lost American Pit Bull Terriers to their owner, and to seek suitable homes for American Pit Bull Terriers without owners.
In its care and disposition of animals, Shaw Pit Bull Rescue, Inc. shall provide veterinary care as needed, and shall spay or neuter each American Pit Bull Terrier before placement.
Shaw Pit Bull Rescue, Inc. shall maintain and preferably exceed the minimum standards prescribed by The Humane Society of the United States.
Shaw Pit Bull Rescue, Inc. will also provide the same for abused, abandoned or neglected horses, pigs, donkeys, and other livestock, as needed.
ARTICLE SEVEN
The number of directors constituting the initial board of directors is three and the names and addresses of the persons who are to serve as the initial directors are:

ARTICLE NINE
No part of the net earnings of the organization shall inure to the benefit of, or be distributed to, its members, trustees, directors, officers or other private persons, except that the organization
shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of section 501(c)(3) purposes. No substantial part
of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in
(including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office.
Notwithstanding any other provision of these articles, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from Federal income tax
under section 501(c)(3) of the Internal Revenue Code (or corresponding section of any future Federal tax code) or (b) by an organization, contributions to which are deductible under section
170(c)(2) of the Internal Revenue Code (or corresponding section of any future Federal tax code).
ARTICLE TEN
Upon the dissolution of this organization, the Board of Trustees shall, after paying or making provision for the payment of all the liabilities of the corporation, distribute the assets for one or
more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future Federal tax code, or shall be distributed to the Federal government
or to a state of local government for a public purpose.
However, if the named recipient is not then in existence or no longer a qualified distributee or unwilling or unable to accept the distribution, then the assets of this organization shall be
distributed to a fund, foundation or corporation organized and operated exclusively for the purposes specified in section 501(c)(3) of the Internal Revenue Code (or corresponding section of any
future Federal tax code).
ARTICLE ELEVEN
The Articles of Incorporation of the Shaw Pit Bull Rescue, Inc. may be amended by the affirmative vote of two-thirds of the directors of the Corporation then in office as permitted in the Mississippi
Nonprofit Corporation Code (or the corresponding provision of any future Mississippi nonprofit corporation law); provided, however, that no amendment may be made which would cause the Corporation no
longer to be qualified as an exempt organization described in section 501(c)3 of the Code.
